Terms of Service

These Terms of Service govern building & construction projects delivered by APEX M LTD (Company No. 15220750). Please read them carefully before instructing any work.

These Terms apply to all building and construction services provided by APEX M LTD, a UK-registered limited company (Company No. 15220750) with its registered office at 128 City Road, London, England, EC1V 2NX, led by director Sujata Gurun. By submitting an enquiry, accepting a written proposal, or making a payment for a project package, you confirm that you have read, understood, and accepted these Terms. References to "we", "us", and "our" mean APEX M LTD.

1. The services we provide

APEX M LTD provides building and construction services across the categories of refurbishments, repairs and planned maintenance, kitchens and bathrooms, single-storey extensions and conversions, and selected commercial fit-outs and bespoke joinery. Services are delivered primarily to residential properties across Greater London and are scoped on a project-by-project basis.

Large-scale new-build developments, services requiring chartered structural engineering sign-off in our own name, and any work that falls outside the categories listed above are not within the scope of the service. Where a project requires specialist regulated trades, those trades are engaged transparently and named in the proposal.

2. Project reviews and quotations

Every project begins with a project review. The review is based on the information you supply, which may include photographs, measurements, and a description of the work you would like carried out. For all but the smallest commissions an on-site survey is required before a formal proposal can be issued.

Following the review, a written proposal is issued. The proposal sets out the scope of the work broken down by trade and stage, the materials and finishes we expect to use, the indicative timeline, and the price. Where a fixed price cannot reasonably be given at the proposal stage — for example, because the full extent of the underlying condition cannot be confirmed until opening-up works begin — the proposal will make this clear and set out the basis on which any variation will be priced.

A proposal is valid for 30 days from the date of issue unless stated otherwise. Prices are subject to change after that period to reflect any changes in material costs or project conditions.

3. Acceptance and formation of contract

A binding contract is formed between APEX M LTD and you when you accept the written proposal — by email, by written confirmation, or by making the payment for the relevant project package. Acceptance signifies that you have read and agreed to these Terms in addition to the project-specific terms set out in the proposal.

4. Scheduling

Project dates are agreed in writing as part of the proposal or by separate correspondence once the proposal has been accepted. We work hard to keep to the agreed schedule, but reserve the right to reschedule where necessary as a result of supplier delays, sub-contractor availability, weather, statutory consent timing, or other circumstances outside our reasonable control. In such cases you will be notified as soon as practicable and a revised date will be agreed.

5. Your responsibilities

You are responsible for providing reasonable access to the property on the agreed dates and for ensuring the working area is reasonably clear of furniture, fittings, and personal possessions before work begins. Pets must be kept clear of the working area for safety reasons. You are also responsible for any consents required from co-occupiers, freeholders, managing agents, or planning authorities; the proposal will note where we are aware that such consents may be required.

Where information you supply during the project review is materially incorrect, or where conditions on site differ materially from those described, a written variation will be issued and the price and timeline will be adjusted accordingly.

6. Materials

Materials are sourced by APEX M LTD as part of the project unless the proposal states otherwise. Where a homeowner supplies their own materials, no warranty is offered on those materials and any installation issues caused by them will not be covered by the project completion process. Title in any materials supplied as part of the project passes to you on full payment.

We source materials from established trade suppliers and select grades appropriate to the residential context of the work. Natural materials such as timber, stone, and clay tile may show variation in grain, colour, and finish; this variation is a normal characteristic of the material and is not treated as a defect.

7. Variations and changes to scope

Any change to the agreed scope — additional work, substitution of materials, or alterations to the working sequence — must be agreed in writing before it is carried out. Variations will set out the additional cost (if any) and any change to the timeline. Verbal agreements on variations may be confirmed by a follow-up written note.

8. Project completion

Each project ends with a documented handover carried out with you. The handover records the work delivered against the agreed scope, the materials and finishes used, any certificates issued, and the aftercare notes for the property. A copy of the handover record is retained as part of the APEX M LTD project file.

Snagging items identified during the handover will be addressed within a reasonable timeframe agreed at the handover. Issues raised after the handover will be handled in accordance with the Refund Policy and the Complaints Policy.

9. Payment

Payments for productised packages are processed by Stripe at the point of booking. Larger projects are typically structured as a deposit at booking, one or more interim stage payments at defined milestones, and a balance on completion. The structure is always set out in the written proposal before any payment is taken. All amounts are quoted in pounds sterling and are inclusive of VAT where applicable.

Late payment of any balance due may result in suspension of the project until the balance is paid, and may attract statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.

10. No recurring billing

APEX M LTD does not offer subscriptions, maintenance memberships, recurring billing arrangements, annual contracts, or ongoing service plans. Every payment is a one-off charge for a defined project. No card details are stored for repeat billing.

11. Dispute handling

Any concerns about a project should be raised with APEX M LTD as soon as they arise so that they can be addressed promptly. The Complaints Policy sets out the process we follow when a formal complaint is received. Both parties will work in good faith to resolve any dispute through direct correspondence before pursuing formal action.

Nothing in these Terms affects your statutory rights as a consumer under UK law, including under the Consumer Rights Act 2015.

12. Liability

APEX M LTD maintains public liability insurance and will be liable for direct loss or damage to your property caused by our negligence during the course of the project, up to the limits of that insurance. Certificate details are available on request.

To the maximum extent permitted by law, APEX M LTD is not liable for indirect, consequential, or economic loss arising from the project, including loss of use of the property, loss of rental income, or distress caused by reasonable delays outside our control. Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot lawfully be excluded.

13. Force majeure

APEX M LTD will not be in breach of these Terms where performance is delayed or prevented by circumstances outside our reasonable control, including severe weather, supply chain disruption, key-personnel illness, statutory restriction, or industrial action by third parties. Where such circumstances arise, we will notify you as soon as practicable and a revised plan will be agreed.

14. Governing law

These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms or any project delivered under them is subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to these Terms

These Terms may be updated from time to time. The version that applies to your project is the version in force at the date your proposal was accepted, except where a later change is required by law.
